STUDIO SOCIETY MEMBERSHIP AGREEMENT

This membership agreement is between you, the member and Studio WH Limited, a company registered in England and Wales (10125293) trading as STUDIO SOCIETY.

By following the joining procedure via our website studio-society.com to become a member you are agreeing to accept the terms and conditions of this membership agreement.

SECTION 1 – MEMBERSHIP AGREEMENT

This membership agreement commences once you have completed the appropriate payment information, completed all your personal details and accepted the terms during the online joining process. By accepting the terms, you are agreeing to pay any applicable joining fee and monthly membership amount, which are shown at the start of the joining process and again before confirming your payment instruction.

The joining fee (If applicable) and membership fee for the first month will be payable directly upon joining via card payment. Subsequent payments will be made via the same card.

When choosing your membership subscription please be aware that you can upgrade at any point, however you are only able to downgrade your account on one occasion. We require three working days’ notice ahead of your monthly payment to action this.

Free trial passes for guests are subject to availability and capacity limits of the club. You can refer the same friend once each calendar month via your Membership App – see ‘Referral Programme’ at the bottom of your app.

You are only entitled to use our studios as detailed in this membership agreement provided you continue to pay the appropriate monthly membership fee. Unpaid accounts will be suspended until the payments are cleared in full.

Studio Society will endeavour to collect all membership fees due on the same calendar day every month during your membership period. If the membership fee is not collected in the ordinary course of business within a reasonable timeframe, Studio Society reserves the right to cancel your membership.

Membership prices are subject to an annual review where any changes will be communicated well in advance, and this will not affect any existing fixed contracts that are already in place.

For annual memberships, you agree to a minimum commitment of a 12-month period. You can freeze your membership, as per our freeze terms. Any frozen months will be added to your membership at the end of the contract which you are required to see out in full.

You have the right to cancel your fixed term contracts (6 or 12 months) within 14 days of this agreement. For rolling or annual memberships, these terms do not apply, and you must reference the specific terms for those contracts.

If Studio Society is running any promotional offers, they will be implemented in good faith in line with the specific terms and conditions of that offer, at the time.

The Half-Price discount offer applies to your first month only. Subsequent monthly payments revert to our headline rate of either £63.00 or £69.00. Your membership will auto-enrol monthly unless you tell us otherwise. For full cancellation rights please refer to your ‘Cancellation of membership’ in our main terms & conditions. *This is a onetime offer availability”.

It is your obligation to upkeep your payments in line with your agreed membership rate. Missed payments that go beyond a reasonable grace period may be referred to a third-party debt collection agency. Once this has been passed on, we are no longer responsible for the dispute and the third party may choose to inform relevant credit reference agencies if they see fit. 

CANCELLATION OF MEMBERSHIP

You may terminate your membership at any point by emailing: hello@studio-society.com – Cancellations are a 30-day notice period from your next payment date due otherwise you will commit to a further month of membership.

For example: Your set payment date is the 14th of the month, and you wish to end your membership on the 14th of April, you need to serve your cancellation notice by the 14th of March. 

You are unable to freeze your membership whilst serving your 30 days’ notice period.

Our Premium Membership offering is a minimum of 3 months. Once the 3 months is up, you will be placed on a rolling contract where 30 days’ notice is needed to either downgrade or cancel your membership.

For all other memberships, the 30-day period applies.

COMMUNICATIONS

You may opt out of email and SMS communications that we may send at any time by contacting us via email at hello@studio-society.com 

We cannot be held responsible for any loss incurred by you not receiving Studio Society related communications so please ensure your notifications are turned on in your phones and emails.

FEES AND CHARGES

The joining fee / initial payment (if applicable) is due and payable immediately on execution of the agreement and is not refundable – other than in the event of breach or negligence by us or on the valid exercise of your statutory cancellation rights, as set out in the principal terms above.

You agree to advise us promptly of any change to your members details provided.

No shows or late cancellations for classes are chargeable at £4.00 per missed class. To avoid charges, please cancel or inform us with a time window of two hours or more. Missed payments will need to be cleared to prevent suspension of your booking system.

AUTOMATIC RENEWAL

We will automatically continue collecting the membership subscription amount every month, unless you inform us otherwise.

You may prevent the automatic renewal at any time by giving notice via email to hello@studio-society.com (you should give us a minimum of 30 days’ notice) providing that you are within your rights to cancel based on your membership term length. 

All fixed term contracts e.g. 6 months or 12 months will revert to a rolling month contract upon completion of the agreed term unless you provide us 30 days’ notice at the penultimate month of the term agreed.

If you miss the cancellation cut off period, you will be charged for a subsequent month in line with the payment agreement.

FREEZING

This agreement may be frozen for free in the event of a temporary illness, injury or medical condition, which in the written opinion of a doctor or other suitably qualified medical practitioner prohibits exercise for a period. Please note that any freeze will not be affected until the appropriate proof is provided and received (in writing or via email to hello@studio-society.com

We require a minimum of 3 working days’ notice ahead of your membership payment, to active any freeze requests relating to that payment month. 

Non-medical freezes can be authorised on a per month basis e.g. one month, two months or three months and will not be authorised on any other term such as 10 days for a holiday. When we refer to months, we refer to a full 30-day period based on your billing date.

SECTION 3 – GENERAL TERMS

You agree to comply with the rules of membership, which are displayed on-line and relate to opening hours, use of facilities and code of conduct while in the club. We may make reasonable changes to these rules at any time and will inform you with reasonable advance notice of any changes.

If we take no action for any breach of this agreement, we reserve the right to fully enforce the terms of this agreement at any future date.

We will do our best to mutually resolve any disputes over this agreement. If you wish to take court proceedings against us, you must do so under English law.

If any part of this agreement is disallowed or found to be ineffective by any court or regulator the other provisions shall continue to apply.

We may terminate this agreement with immediate effect if you are in breach of the clubs’ rules (i.e. theft or other criminal activity within the facility). In this event you will not be liable to pay any further direct debit payments, provided such breach is not deemed by us to have occurred primarily to qualify you for a refund.

IMPORTANT – USE OF YOUR INFORMATION

The information held about you by Credit Reference Agencies may be linked to records relating to any person with whom you are linked financially. Read the “Use of Associated records” below before you sign.

SECTION 4 – YOUR OBLIGATIONS

You are at least 16 years old. For 16 and 17-year-olds, we will need written consent from your parent or guardian which needs to be sent to hello@studio-society.com

You agree to pay us the applicable monthly membership fee and joining fee on the date detailed during the online membership application process.

In the unlikely event of disruption or temporary interruption to services you agree to pay by card method.

You agree to abide by the Studio Society membership rules which are available during the online joining process, also displayed online.

You agree your membership is non-transferrable under any circumstances and you are the only person permitted to enter the facilities.

If any payment is returned unpaid you will comply with attempted repeat payment.

You consent to being recorded on club CCTV for security purposes and reviewed at our discretion by our employees and/or appropriate contractors.

You will always wear suitable and applicable clothing as directed by club management and set out in the gym rules.

You agree to always use the facilities and equipment in a safe and proper manner.

You could be held liable for any damage to equipment or facilities through gross negligence or deliberate action that causes damage to our property.

You agree to keep us informed of any change to your personal details and contact information.

You understand we have the right to terminate or suspend your membership agreement if you fail to pay any applicable fee or charge.

You understand we have the right to terminate your membership immediately for any breach of the membership and gym rules.

OTHER CLAUSES

You are aware that any additional services your contract for or agree to pay for e.g. Personal Training are done so entirely at your own risk and you are entering into an agreement directly with those individuals and not Studio Society.

We will endeavour to ensure all 3rd parties supplying additional services on the premises have the relevant and applicable qualifications and insurance to provide the services you have contracted them for however, you agree that it is your responsibility to check.

There may be occasions where we must close all, or part of, the club of which you are a member. We will do our best to let you know of such closures in advance of them taking place, unless the problem is urgent or an emergency. We will use all commercially reasonable endeavours to ensure that such closures are outside of peak visiting hours and kept to a minimum, in both duration and frequency. You will not be entitled to a refund of part of, or all your membership fees in such circumstances.

You agree and understand that we are not liable for any personal injuries, damages, or losses caused by any negligent act of those providing the additional services and that any litigation or claim should be made towards the third party/subcontractor directly.
